CORPORATE GOVERNANCE
Governance structure
The CLEARTHLIFE Group is committed to strengthening its corporate governance framework in order to ensure management transparency for all stakeholders, including shareholders, customers, and employees, while achieving sound and efficient business operations.
Under this policy, we have established a Board of Directors and a Board of Corporate Auditors. In addition, we strive to ensure the appropriateness of business execution and the transparency of financial reporting through audits conducted by our independent accounting auditor and our Internal Audit Office. We also hold management meetings to facilitate information sharing and enable timely decision-making regarding business operations.
Furthermore, we have established a Compliance Committee that includes external experts to review and deliberate matters related to compliance. We have also adopted the Basic Policy for the Development of an Internal Control System, through which we continuously work to enhance the effectiveness of our governance structure and promote the proper and efficient operation of our business activities.

At the CLEARTHLIFE Group, we regard compliance as one of our highest management priorities. Our fundamental policy is that all directors, officers, and employees recognize their responsibilities and conduct business activities in accordance with applicable laws, regulations, and internal policies.
To support this commitment, we have established various compliance-related policies and regulations, including the CLEARTHLIFE Group Code of Business Ethics. These policies set forth specific standards and requirements concerning legal compliance in business transactions, the exclusion of anti-social forces, and the standards of conduct expected of directors, officers, and employees. We also provide ongoing training and educational programs to promote compliance awareness throughout the organization.
In addition, we have established internal reporting and consultation channels to facilitate the early detection and correction of compliance violations and other misconduct. Through these mechanisms, we maintain a system designed to ensure fair, prompt, and appropriate responses to compliance-related concerns.

Even within the constraints of a limited site area, the building was designed with consideration for harmony with the surrounding environment and the promotion of green spaces, reflecting our commitment to environmentally conscious development.
